We are searching for an individual who can work independently but collaboratively in a fast-paced and collegial team environment. This new paralegal position will primarily support the Energy Division. Position is expected to efficiently and effectively perform a wide variety of paralegal duties, working independently or with/at the direction of the Energy business clients and applicable legal staff.
You Will:
Assist in identification and documentation of energy issues/risks throughout the entity, both foreign and domestic.
Respond to, review, analyze and assist in negotiation of contracts, including customer and vendor contacts.
Assist with development of form/template agreements and standard provisions; facilitate management and use of such forms and provisions.
Understand, interpret and explain contractual terms, conditions, rights and obligations to business staff.
Conduct complex factual/legal research regarding various regulatory issues.
Develop and ensure consistent application of contract review procedures.
Monitor regulatory and legal developments in select industries at state and federal levels.
Assist with mergers and acquisitions, including organization of due diligence, document preparation, and coordination of closings.
Assist in developing and implementing business-specific training materials and programs.
Prepare and submit corporate and government agency filings.
Perform business entity formation and general corporate maintenance duties including UCC filings and searches.
Maintain and organize legal records, files and correspondence using applicable systems and databases.
Prepare reports and other documentation as assigned.
Coordinate with and assist internal and outside counsel in effectively managing legal matters.
Perform other duties as assigned.
Associate's degree or Paralegal/Legal Assistant Certificate from an accredited program.
3-5 year’s experience as a paralegal in a law firm and/or law department; including at least one year experience in contract law.
Excellent interpersonal skills. Able to communicate confidently and effectively with different audiences such as business managers, technical, operational, administrative and production employees, and outside counsel.
Experience drafting and analyzing contracts and other legal documents.
Strong organizational skills and ability to prioritize requests.
Experience researching legal and operational information.
Ability to deliver excellent service and high quality work product to internal and external customers.
PC skills; Microsoft Office applications (Word, Excel, PowerPoint, Outlook); and other applications as required
Ability to maintain confidentiality.
Paralegal Certification and 5 years' experience in lieu of Associate's Degree.
3 + year’s experience in contract law/contract administration.
Experience in energy industry.
